1. Introduction and Agreement
Welcome to advertisindia.in ("Website"), owned and operated by AdvertisIndia ("Company," "we," "us," or "our"). These Terms of Service (ToS) govern the provision and use of our web services, including web development, digital marketing, and related consulting ("Services").
By accessing the Website, engaging our Services, or accepting a quote, you ("Client," "User," or "you") agree to be bound by these ToS.
2. Service Scope and Project Execution
2.1 Project Agreement: The specific scope of work, deliverables, timelines, and payment schedule will be detailed in a separate Statement of Work (SOW) or Service Agreement. This SOW is incorporated into these ToS by reference. 2.2 Client Responsibilities: The Client is responsible for providing all necessary content (text, images, logos, etc.) and timely feedback/approvals as requested. Delays caused by the Client may necessitate timeline extensions or project cost adjustments. 2.3 Revisions: Projects include a specified number of revision rounds as defined in the SOW. Work requested outside this agreed-upon scope will be billed separately at our standard hourly rate.
3. Intellectual Property (IP)
3.1 Client Content: The Client warrants that all content provided to us does not infringe upon the IP rights of any third party. The Client agrees to indemnify us against any claim arising from the use of content they supplied. 3.2 Service Deliverables: Upon full and final payment for the project, the Client will own the unique, final deliverables (e.g., website design, unique code). AdvertisIndia retains ownership of all underlying IP, including proprietary frameworks, non-unique code libraries, development tools, and generic templates used to create the deliverables. 3.3 Portfolio Rights: We reserve the right to display the completed project in our portfolio and marketing materials unless a prior written non-disclosure agreement (NDA) is executed.
4. Fees, Payment, and Termination
4.1 Payment Terms: All fees are non-refundable except as explicitly outlined in our Refund Policy. Payments must adhere to the schedule defined in the SOW. Late payments may result in the suspension of all Services without prior notification. 4.2 Termination by Client: If the Client terminates the SOW before completion, all payments made up to the termination date are non-refundable. The Client will be invoiced for all work completed beyond the last paid milestone. 4.3 Termination by Company: We may terminate the project immediately if the Client violates these Terms, fails to make timely payments, or breaches any section of this agreement.
5. Warranties and Limitation of Liability
5.1 Limited Warranty: We provide a limited warranty of 14 days following project launch for bugs or functional issues directly resulting from our coding errors. This warranty does not cover issues caused by third-party software, hosting, or Client modifications. 5.2 Limitation of Liability: Our total liability to the Client for any claim arising from the Services shall not exceed the total amount paid by the Client to AdvertisIndia for the specific project component giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages (e.g., loss of profits or data).
6. Governing Law and Contact
